1. Introduction
Welcome to Interoceanic Solutions LLC (“Interoceanic,” “Company,” “we,” “our,” or “us”).
These Terms of Service (“Terms of Service” or “Terms”) govern the services, business activities, and service-related interactions offered by Interoceanic Solutions LLC, including applicable services requested through our website, written proposals, electronic communications, or other authorized channels.
By requesting, purchasing, accessing, or using a service provided by Interoceanic Solutions LLC, you agree to the terms applicable to that service. If you do not agree, you should refrain from using the applicable service.
Certain services may be governed by additional written agreements, proposals, statements of work, invoices, purchase orders, or other contractual documents. Those documents will supplement these Terms and control where they expressly conflict with these Terms for the relevant transaction.
2. About Interoceanic Solutions LLC
Interoceanic Solutions LLC is a limited liability company engaged in lawful business and commercial activities. Depending on its operations and applicable agreements, the Company may participate in service delivery, contracting, procurement, logistics, business partnerships, equipment-related activities, real estate initiatives, and other commercial ventures.
Interoceanic operates within a church- and tribally affiliated organizational structure. Such affiliations do not automatically establish that every affiliated entity shares the same legal status, tax treatment, regulatory exemptions, or legal privileges.
Unless expressly authorized by a separate written agreement, Interoceanic Solutions LLC acts in its own capacity and does not automatically bind an affiliated church, tribe, or other organization to any service, transaction, or obligation.
3. Scope of Services
The specific services available from Interoceanic Solutions LLC may change over time based on business operations, customer requirements, available resources, contracts, and applicable law.
The scope, deliverables, pricing, schedule, and other requirements for a particular service will be established through the applicable written proposal, service agreement, statement of work, purchase order, or other accepted arrangement.
Information published on our website is generally informational and does not guarantee that a particular service is available in every location or circumstance.
We reserve the right to decline requests that fall outside our capabilities, authorization, operational capacity, or legal requirements.
4. Service Requests and Acceptance
Submitting an inquiry, application, proposal request, registration, or order does not automatically create a binding service agreement.
A service request may be subject to review, verification, eligibility requirements, availability, pricing confirmation, due diligence, and written acceptance.
Unless otherwise agreed in writing, a service engagement begins only when the relevant terms have been accepted by the parties or the Company has otherwise confirmed acceptance through an authorized representative.
We may request additional information reasonably necessary to assess or perform a requested service.
5. Customer Responsibilities
Customers, clients, and other parties receiving services from Interoceanic Solutions LLC agree to:
- Provide accurate, complete, and current information relevant to the requested services.
- Supply necessary documentation, approvals, instructions, and authorizations.
- Cooperate reasonably with service-related requests and agreed project requirements.
- Pay applicable fees and charges in accordance with the accepted terms.
- Use services lawfully and in accordance with applicable agreements.
- Avoid providing false, misleading, fraudulent, or unauthorized information.
- Respect applicable confidentiality, intellectual property, safety, and security requirements.
Delays, additional costs, or service limitations may result when a customer fails to provide required information, approvals, access, or cooperation.
6. Fees, Pricing, and Payment
Fees, rates, deposits, expenses, payment schedules, and other charges will be specified in the applicable proposal, invoice, purchase order, service agreement, or other accepted arrangement.
Unless expressly stated otherwise in writing:
- Prices and estimates are subject to confirmation before a binding engagement is established.
- Customers are responsible for paying agreed charges by the applicable due dates.
- Additional work outside the agreed scope may require a separate written approval and additional fees.
- Taxes, third-party charges, transportation costs, materials, or other expenses may be charged where applicable and disclosed or agreed as required.
- Disputed invoices should be raised promptly through the designated communication channel, without waiving any rights available under applicable law.
Late fees, interest, collection expenses, deposits, refunds, and cancellation charges will apply only when authorized by the applicable agreement and permitted by law.
No payment is due solely because a visitor submits a general inquiry or reviews our website.
7. Changes to Services and Scheduling
Service schedules, milestones, deliverables, and estimated completion dates will be established by the applicable service arrangement.
Changes may be necessary because of customer requests, supply availability, operational constraints, third-party actions, regulatory requirements, weather, or other circumstances affecting performance.
Material changes to scope, pricing, deadlines, or deliverables should be documented and approved by the parties where required by the applicable agreement.
We will make reasonable efforts to communicate material service changes when appropriate. We do not guarantee a particular completion date unless expressly agreed in a binding written agreement.
8. Third-Party Providers and Subcontractors
Interoceanic Solutions LLC may engage qualified vendors, independent contractors, subcontractors, suppliers, or other third parties to support service delivery where appropriate and legally permitted.
Unless otherwise agreed in writing, we may coordinate with third parties as part of performing an authorized engagement.
Third-party participation does not automatically create a direct contractual relationship between the customer and each third party. The rights and obligations of each party will depend on the applicable agreements and law.
We will remain responsible for obligations assigned to us under our agreements and applicable law. We do not guarantee the independent performance, availability, or conduct of third parties beyond obligations we have expressly undertaken.
9. Customer Information and Confidentiality
Customers should provide only information reasonably necessary for the requested service and should use appropriate secure channels for sensitive materials.
We handle personal information in accordance with our Privacy Policy and applicable law.
Confidentiality obligations, including the treatment of business records, trade secrets, proprietary information, and customer materials, may also be established through a separate nondisclosure agreement or service contract.
Unless a written agreement or applicable law requires otherwise, submitting information does not automatically create a special fiduciary relationship or guarantee that all submitted materials will be treated as confidential.
10. Intellectual Property and Work Product
Unless otherwise agreed in writing, each party retains ownership of its pre-existing intellectual property, proprietary materials, trademarks, processes, software, documentation, and other protected assets.
Any ownership, licensing, permitted use, or transfer of deliverables created specifically for a customer will be determined by the applicable written agreement.
Customers may not use Interoceanic Solutions LLC’s name, logo, materials, confidential information, or other protected intellectual property without appropriate authorization, except as permitted by law.
Likewise, the Company will respect intellectual property rights belonging to customers and other third parties in accordance with applicable agreements and law.
11. Compliance With Applicable Laws
Each party is responsible for complying with the laws, regulations, licensing requirements, and contractual obligations applicable to its activities.
Customers must not use our services to facilitate unlawful conduct, fraud, misrepresentation, unauthorized transactions, or violations of third-party rights.
Interoceanic Solutions LLC reserves the right to decline, suspend, or terminate a service where reasonably necessary to address legal, regulatory, safety, security, or contractual concerns, subject to applicable law and any binding agreement.
12. No Guarantee of Business or Financial Results
Unless expressly stated in a binding written agreement, Interoceanic Solutions LLC does not guarantee a particular business outcome, revenue level, profit, contract award, funding approval, investment return, or commercial result.
Business opportunities and services may be affected by market conditions, customer decisions, eligibility requirements, competition, third-party performance, and other factors beyond our control.
Any projections, estimates, or illustrative examples should not be interpreted as guaranteed results.
Please review our Earnings Disclaimer for additional information.
13. Cancellations, Suspension, and Termination
Cancellation rights, notice requirements, termination procedures, refunds, and related fees will be governed by the applicable service agreement and mandatory legal requirements.
Where no separate agreement specifies a procedure, either party may request termination or cancellation by providing reasonable written notice, subject to any outstanding obligations and applicable law.
We may suspend or terminate services where reasonably necessary due to nonpayment, material breach, unlawful activity, safety or security concerns, or circumstances that make continued performance impracticable or unlawful.
Where appropriate and legally required, we will provide notice and an opportunity to remedy a breach before suspension or termination.
Termination does not eliminate payment obligations already incurred or other provisions that expressly or inherently survive termination.
14. Service Disclaimers
To the extent permitted by applicable law, services are provided in accordance with the scope and standards expressly stated in the applicable agreement.
We do not provide warranties beyond those expressly agreed in writing or required by law.
Any limitation on warranties in these Terms does not override an express written commitment, a mandatory statutory protection, or a warranty that cannot lawfully be disclaimed.
15. Limitation of Liability
To the fullest extent permitted by applicable law, Interoceanic Solutions LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from a service, including certain losses of profits, revenue, business opportunities, goodwill, or anticipated savings.
Any liability limitations applicable to a particular service will be subject to the relevant written agreement and the laws governing that engagement.
Nothing in these Terms excludes or limits liability for fraud, willful misconduct, gross negligence, or any other liability that cannot lawfully be excluded or limited.
These provisions do not override an express written contractual commitment or mandatory legal protection.
16. Indemnification
To the extent permitted by applicable law, a customer or service recipient may be responsible for third-party claims, losses, or reasonable expenses arising from its unlawful conduct, material breach of an applicable agreement, or infringement of another party’s rights.
Any indemnification obligation will be subject to the applicable written agreement and applicable law. Nothing in this section requires a party to indemnify another party for conduct where such an obligation is prohibited by law.
17. Force Majeure
Neither party will be considered in breach solely because performance is delayed or prevented by circumstances beyond its reasonable control, to the extent recognized by applicable law and the governing agreement.
Such circumstances may include natural disasters, severe weather, war, civil unrest, public emergencies, governmental actions, transportation interruptions, widespread utility failures, labor disruptions, or major third-party service outages.
The affected party should provide reasonable notice when practicable and take reasonable steps to mitigate the effects of the disruption.
Payment obligations already accrued and other obligations that can reasonably be performed remain subject to the applicable agreement and law.
18. Disputes and Governing Law
The parties should first attempt to resolve service-related disputes through good-faith communication, where appropriate and consistent with the applicable agreement.
The governing law, venue, arbitration requirements, and other dispute-resolution procedures for a particular service may be specified in a separate written agreement.
For these general Terms of Service, the appropriate governing law and forum should be confirmed before publication based on the Company’s legal structure and the nature of its services.
Nothing in these Terms is intended to waive any immunity, sovereign immunity, tribal sovereignty, or other legal protection that may apply to a qualifying entity or activity. The existence and scope of any such protection depend on applicable law and the circumstances. No immunity is asserted or waived merely by this provision.
19. Relationship to Other Policies and Agreements
These Terms of Service should be read alongside the applicable website Terms and Conditions, Privacy Policy, Earnings Disclaimer, and Affiliate Disclosure.
Those policies address different subjects and do not automatically replace a service-specific contract.
If a separate written agreement expressly conflicts with these Terms regarding a specific service, the separate agreement will control to the extent provided in that agreement.
20. Amendments to These Terms
We may update these Terms of Service as our services, business operations, or legal obligations change.
Updated Terms will be published with a revised “Last Updated” date. Where required by law or an existing agreement, we will provide additional notice or obtain consent.
Changes will apply prospectively unless otherwise permitted by applicable law or agreed by the parties.
21. Severability and Waiver
If a provision of these Terms is found to be invalid or unenforceable, it will be limited or severed to the minimum extent necessary, and the remaining provisions will continue in effect to the extent permitted by law.
A failure or delay in enforcing a provision does not automatically waive the right to enforce it later.
